Terms of Service

These Terms of Service ("Terms") govern access to and use of the Entrim LLM Inference API and related services (the "Service") operated by:

1. Definitions

"Entrim"

refers to E3M d.o.o., the operator of the Service.

"Service"

refers to the Entrim hosted large language model inference API and related developer tools.

"API"

refers to the application programming interface endpoints provided by Entrim.

"Models"

refer to machine learning models made available through the Service.

"Input"

refers to prompts, data, or other information submitted to the Service.

"Output"

refers to content generated by the Service in response to Input.

"Customer Content"

refers collectively to Input and Output.

2. The Service

• Entrim provides hosted large language model inference through API endpoints.
• The Service enables customers to send text prompts and receive generated responses from machine learning models.
• The Service is designed for software development and integration into applications, products, or internal tools.
• Entrim may modify, improve, or update the Service from time to time.

3. Service Availability and Changes

• Entrim may modify, update, suspend, or discontinue the Service, or any part of the Service, at any time to improve performance, maintain infrastructure, address security issues, or comply with legal requirements.
• Entrim may also introduce new features, remove features, or change supported models or functionality.
• While Entrim aims to maintain reliable service operation, the Service may experience interruptions due to maintenance, infrastructure changes, upgrades, or events outside of Entrim's control.
• Entrim does not guarantee uninterrupted availability of the Service.
• Where reasonably possible, Entrim will provide notice of significant service changes through the website, developer dashboard, or other appropriate communication channels.

4. Accounts and API Keys

To use the Service you must create an account and obtain an API key. You must:

• provide accurate and complete account information
• keep your API keys secure
• prevent unauthorized access to your account

API keys may be used within your organization but must not be publicly shared or distributed to third parties. You are responsible for all activity conducted using your account or API keys. If you believe your API key has been compromised, you must notify Entrim immediately.

5. Acceptable Use

You may use the Service only in compliance with applicable laws and these Terms. You must not use the Service to:

• engage in illegal activity
• generate malware, phishing content, or exploit software vulnerabilities
• commit fraud or impersonate individuals or organizations
• violate privacy or collect personal data unlawfully
• interfere with or disrupt the Service
• attempt to reverse engineer or extract model weights
• attempt to reproduce or build competing models using the Service
• bypass rate limits or service safeguards

Entrim may suspend or terminate access if these rules are violated. For non-critical issues Entrim may provide a warning before taking action.

5. Usage Limits and Service Protection

To maintain service stability and protect infrastructure, Entrim may apply rate limits, usage controls, or other technical safeguards. Entrim may modify these limits at any time to ensure reliable service operation.

7. Fees and Billing

• The Service is provided on a usage-based pricing model.
• Customers are billed for API usage based on token consumption or other metered usage metrics.
• Invoices are issued on a postpaid monthly basis unless otherwise agreed.
• All fees are exclusive of taxes.
• Customers are responsible for paying any applicable taxes, duties, or similar governmental charges, except taxes based on Entrim's income.
• All invoices must be paid according to the payment terms specified in the invoice.
• Entrim may suspend access to the Service for non-payment.

7. Billing Disputes

Customers must notify Entrim of any billing disputes within 30 days of the invoice date. Failure to dispute an invoice within this period will be considered acceptance of the charges.

9. Data Handling

• Entrim processes requests solely for the purpose of providing the Service.
• Prompts and outputs submitted to the API are processed in memory and are not stored after completion of the request.
• Temporary in-memory caching may occur to improve inference performance.
• Entrim does not use customer prompts or outputs to train machine learning models.
• Entrim retains limited operational metadata required to operate the Service, including:
  • token usage counts
  • timestamps
  • request identifiers
  • user agent information
  • usage cost data
• This metadata is used for billing, service reliability, and abuse prevention.

Additional details regarding data handling will be described in the Entrim Privacy Policy when published.

9. Customer Content

• Customers retain ownership of their Input.
• Subject to these Terms, customers may use Output generated by the Service for lawful purposes.
• Customers are responsible for their use of both Input and Output.
• Entrim does not monitor or control Customer Content submitted to the Service.

11. Artificial Intelligence Disclaimer

The Service relies on machine learning models. Outputs generated by the Service may be inaccurate, incomplete, biased, or inappropriate. Entrim does not guarantee the correctness, reliability, or suitability of model outputs. Customers are responsible for reviewing and evaluating outputs before using them in applications, products, or decisions.

11. Intellectual Property

• The Service, including the API, software, infrastructure, and platform technology, is owned by Entrim or its licensors.
• These Terms do not grant customers any ownership rights in the Service or the underlying models.
• Customers may not copy, modify, distribute, or reverse engineer the Service except as permitted by law.

13. Suspension and Termination

Entrim may suspend or terminate access to the Service if:

• these Terms are violated
• there is suspected abuse or security risk
• payment obligations are not met
• required by law or regulatory authority

Customers may stop using the Service at any time.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Entrim disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Entrim does not guarantee uninterrupted or error-free operation of the Service.

15. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Except for a party's indemnification obligations, gross negligence, willful misconduct, or infringement of the other party's intellectual property rights, the total liability of either party arising out of or relating to these Terms will not exceed the total amount paid by the customer to Entrim during the three (3) months preceding the event giving rise to the claim. Customer payment obligations are not subject to this limitation.

15. Indemnification

Customers agree to indemnify and hold harmless Entrim from any claims, damages, liabilities, costs, and expenses arising from:

• their use of the Service
• their Input or Output
• violation of these Terms
• violation of applicable law or third-party rights

17. Governing Law

These Terms are governed by the laws of the Republic of Slovenia. Any disputes arising from these Terms will be subject to the jurisdiction of the competent courts in Slovenia.

17. Changes to the Terms

Entrim may update these Terms from time to time. If changes are material, Entrim will provide notice through the website or developer dashboard. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
